Terms of Use
These Terms of Use (“Terms”) govern access to and use of the Sopan365 websites, applications, and services (“Sopan”, “Service”). By accessing or using Sopan, you agree to these Terms. If you use Sopan on behalf of an organisation, you represent that you have authority to bind that organisation.

1. About Sopan
Sopan365 provides software for education consultancies, migration agencies, and related education stakeholders to manage enquiries, student counselling records, applications, documents, institutional catalogues, and team workflows. The Service is designed for use by:
- Education consultancies and their staff
- Students and prospects (where features are made available)
- Colleges, universities, and institutional partners

2. Eligibility and accounts
You must be legally able to enter a binding agreement to use Sopan. Organisation accounts are created for businesses or institutions. Account administrators are responsible for all activity under their organisation, including inviting users, assigning roles, and safeguarding credentials. You must provide accurate information and keep it up to date. You may not share login credentials or allow unauthorised access.
3. Roles of stakeholders
- Consultancies — Customers who subscribe to Sopan control how they use the Service to manage leads, students, applications, and documents. They are responsible for the accuracy of data they enter and for their relationships with students and partner institutions.
- Students — Where students interact with Sopan (directly or via a consultancy), they must provide truthful information and use the Service only for legitimate education or migration-related purposes authorised by the relevant organisation.
- Colleges & universities — Institutional users and contacts whose information appears in Sopan must ensure that published programme, intake, and contact details are accurate to the best of their knowledge when they control that content.
4. Licence and acceptable use
Subject to these Terms and any applicable subscription agreement, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use Sopan for your internal business or authorised education purposes. You agree not to:
- Use the Service for unlawful, fraudulent, or harmful activities.
- Upload content you do not have the right to use, including personal data without a lawful basis.
- Attempt to gain unauthorised access to systems, accounts, or data.
- Reverse engineer, scrape, or interfere with the Service except as permitted by law.
- Misrepresent your identity, affiliation, or the status of any application or institution.
- Use Sopan to send spam or unsolicited communications in violation of applicable law.
- Resell, sublicense, or provide the Service to third parties except as expressly allowed in writing.
5. Customer content and data
“Customer Content” means data, documents, notes, and other materials uploaded or entered by you or your organisation. You retain ownership of Customer Content. You grant Sopan a worldwide licence to host, process, transmit, and display Customer Content solely as needed to provide and improve the Service, comply with law, and prevent abuse.
Organisation customers are responsible for: (a) obtaining necessary consents and authorisations from students and other individuals; (b) ensuring Customer Content is accurate and lawful; (c) configuring access appropriately; and (d) backing up critical records as needed for their own compliance obligations.
6. Privacy
Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. By using Sopan, you acknowledge that policy.
7. Subscriptions, trials, and fees
Paid plans, free trials, and billing terms may be described on our website, in an order form, or in a separate agreement. Fees are non-refundable except as required by law or expressly stated in writing. We may change pricing with reasonable notice for renewals. Failure to pay may result in suspension or termination of access.
8. Intellectual property
Sopan, including its software, branding, design, documentation, and related materials, is owned by Sopan365 or its licensors and is protected by intellectual property laws. These Terms do not transfer ownership of any Sopan IP to you. Feedback you provide may be used by us without obligation to you.
9. Third-party services and institutions
Sopan may integrate with or reference third-party services, universities, colleges, or government processes. We are not responsible for third-party websites, admissions decisions, visa outcomes, or institutional policies. Application success, offer letters, and visa grants are determined by the relevant institutions and authorities—not by Sopan.
10. Disclaimers
The Service is provided “as is” and “as available” to the fullest extent permitted by law. We do not warrant that Sopan will be uninterrupted, error-free, or meet every particular requirement. We do not provide legal, immigration, or academic advice. Consultancies remain responsible for counselling quality and regulatory compliance in their jurisdictions.
11. Limitation of liability
To the maximum extent permitted by law, Sopan365 and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed the amounts paid by the relevant customer to Sopan for the Service in the twelve (12) months before the claim. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.
12. Indemnity
You agree to defend and indemnify Sopan365 against claims, losses, and expenses (including reasonable legal fees) arising from your Customer Content, your misuse of the Service, your violation of these Terms, or your infringement of third-party rights—except to the extent caused by our wilful misconduct.
13. Suspension and termination
We may suspend or terminate access if you breach these Terms, create risk or legal exposure, fail to pay fees, or if we discontinue the Service. You may stop using Sopan at any time. Upon termination, your right to access the Service ends. Provisions that by nature should survive (including ownership, disclaimers, limitations, and indemnity) will survive termination.
14. Changes to the Service or Terms
We may modify the Service and these Terms from time to time. We will post updated Terms on this page and revise the effective date. Continued use after changes become effective constitutes acceptance, except where applicable law requires additional consent.
15. Governing law
These Terms are governed by the laws applicable in the jurisdiction where Sopan365 principally operates its business, without regard to conflict-of-law principles, except where mandatory local consumer or data-protection laws give you non-waivable rights. Courts in that jurisdiction will have exclusive jurisdiction over disputes, subject to any mandatory local venue rules.
16. General
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction. These Terms, together with the Privacy Policy and any order form or subscription agreement, are the entire agreement between you and Sopan regarding the Service.
